Things To Remember In PreparingAnnual Disclosure Documents

Preparation of Annual Disclosure Documents is the title of a CLE seminar planned for Tuesday, December 7 by the Pennsylvania Bar Institute (PBI).

Participants will learn the legal and practical issues relating to the preparation of annual disclosure documents and about recent SEC developments and initiatives. The panel of speakers will discuss disclosure requirements relating to proxy statements, annual reports, and Form 10-K's, including officer certifications, current accounting issues, audit committee responsibilities, director independence, proposed shareholder access rules and professional responsibility of attorneys.

Attendees will learn the basics of preparing annual disclosure documents, as well as gain practical advice on procedures to prepare management's discussion and analysis of financial condition and results of operations and disclosure practices mandated by the Sarbanes-Oxley Act.

Course planners for the session are Albert S. Dandridge, Schnader Harrison Segal & Lewis LLP, and Gerald J. Guarcini, Ballard Spahr Andrews & Ingersoll, LLP. Also speaking will be James W. McKenzie, Morgan, Lewis & Bockius LLP.
