The Basics Of Corporate Acquisitions



Want to know the difference between a bear-hug and a lock-up? Confused by the geometry of a reverse triangular merger? Who are the players and what's my role as a corporate lawyer?

These are some of the questions that the Association of the Bar of the City of New York will attempt to answer this month in a CLE seminar titled Introduction to the Deal: What's Involved in a Corporate Acquisition?

The program, scheduled for Friday, January 30, is designed to introduce lawyers to basic acquisition structures and issues for acquisitions of private and public businesses. A faculty of experienced practitioners will examine timing considerations, negotiation strategies and practical pointers in getting a deal signed and closed.

The program chair is David L. Caplan, Davis Polk & Wardwell.

The session will take place from 9 a.m. to 4 p.m. at the House of the Association, 42 West 44th Street, New York City.
