On Wednesday, July 21 the Pennsylvania Bar Institute presents Understanding Damages & Indemnities in Commercial Contracts.
The seminar will be located at the CLE conference center in the Wanamaker Building in Central Philadelphia. It will begin at 9:00 a.m. and end at 12:15 p.m. and will offer 3 hours of continuing legal education credit.
The faculty will take an interesting approach to document drafting by taking a backward look at negotiating a deal - it will examine the damages and indemnities that come into play after a breach of contract and will offer document crafting guidance to ultimately avoid a breach.
Participants will learn from the breach of contract and explore the differences between the types of damages, the impact each may have on the ability to recover from a breach, and when it would be appropriate to limit the types of damages that may be sought.
They will gain an understanding of what happens when a contract fails and how to protect against such failure, plus how to gain a competitive edge when negotiating comprehensive and better binding contracts that are less likely to fail.
Other topics include mitigation of damages, indemnification and other contractual remedies and insurance issues arising in contracts.
The speakers include William C. Clark, Jr. and Daniel W. Krane of Drinker Biddle & Reath LLP; Michael D. Homans, Flaster Greenberg, P.C. and Professor William J. Woodward, Temple University School of Law.
