NY ACCA Seminar Will Examine Unique Aspects Of International M&A

The Greater New York Chapter of the Association of Corporate Counsel America (NY ACCA) and the firm of Alston & Bird LLP this month are planning a CLE seminar titled Special Considerations in International Mergers & Acquisitions.

The program will take place on Tuesday, May 9 from 7:30 to 10 a.m. at the Alston & Bird office, 90 Park Avenue (between 39th and 40th streets), New York City.

Among the international aspects of M&A to be discussed are issues dealing with antitrust, benefits, environmental law and taxation. The focus will be on the aspects of the transaction that need to be coordinated and considered when dealing with multiple jurisdictions in the M&A context, from the perspective of corporate counselfor a U.S. entity that is embarking on an international acquisition, or from the perspective of a U.S. target that has operations outside the u.s.

Differences between U.S. and foreign laws will be highlighted, including the at-will employment laws and practices of the U.S. in contrast to employment laws of foreign countries that lean more heavily to employee protections.

Speakers will include Aydin Caginalp, Mitchel Pahl and Kevin Rowe, of Alston & Bird, and Stephen Rose and Elizabeth Shepherd, of Eversheds LLP.
