McCarter Team To Offer Case StudyOf UNB Acquisition By PNC



Last year, the firm of McCarter & English played a critical role in PNC's acquisition of Bridgewater United National Bancorp (UNB), representing UNB in all phases of the transaction. This acquisition will become the focus this month of a CLE seminar titled Handling Corporate Acquisitions: PNC's Acquisition of Bridgewater United National Bancorp: A Case Study of M&As involving Small to Medium Sized Companies.


The program will take place on Thursday, June 17 from 5 to 9 p.m. at the Woodbridge Hilton, Iselin, NJ.


This unique program will present a case study of the PNC acquisition, featuring the McCarter & English/UNB team responsible for handling the transaction. They will provide insight on the issues they confronted and discuss many areas involved in "closing the deal."


Attendees will gain insight into M&A of small and medium-sized companies from this case study addressing areas such as banking regulation, corporate governance and contractual matters, securities issues, tax consequences, employment benefits issues, real estate concerns, and due diligence.


Speakers from the McCarter team involved in the UNB acquisition by PNC include Jeffrey Baumel, Howard Kailes, Susan Mello and Todd M. Poland, all McCarter partners.
