Structuring and Drafting Commercial Loan Documents, a day-long CLE seminar, will be presented in three locations this month by the Pennsylvania Bar Institute (PBI).
The programs will take place on Wednesday, March 16 at the CLE Conference Center, Wanamaker Building, Juniper Street, Philadelphia; on Tuesday, March 22 at the PBI Conference Center, 5080 Ritter Road, Mechanicsburg, PA, and on Tuesday, March 29 at the Conference Center at Mellon, 501 Grant Street, Pittsburgh. Sessions will run from 9 a.m. to 5 p.m., with registration starting at 8:30 a.m.
Thanks to changes in the Uniform Commercial Code, this course is considered a must for the busy transactional lawyer. Panelists will provide expert analysis, guidance and instruction on how to secure a loan agreement. Beyond the nuts and bolts, this program will walk participants through the many stages of negotiating an agreement, sharing valuable tips for improving drafting skills.
The sessions will cover topics such as: representations, warranties, covenants and events of default; indemnities, waivers and confessions of judgment; guaranties and "quasi guaranties;" secret liens and traps for the unwary lender; real estate related issues; intellectual property; security interests in investment property; recent case law, and ethics issues.
