The DC Bar has assembled an expert panel of current and former SEC staff to discuss hedge fund compliance with disclosure rules in modern capital markets.
It will run from 12:15 to 1:30 p.m. at the office of Weil, Gotshal & Manges LLP, 1300 Eye Street, NW, Suite 900, Washington DC.
Adé Heyliger, Weil, Gotshal & Manges LLP, will moderate a discussion with Weil partner Catherine Dixon; Skadden Arps partners Brian Breheny and Jeremy London; and Nicholas Panos, senior special counsel, U.S. SEC Office of Mergers & Acquisitions, who will explore the proxy rules and beneficial ownership disclosure requirements commonly applicable in modern capital markets, with a focus on the shareholder communication and director nomination activities of investment funds. Other topics that will be considered are proxy access and currently applicable proxy disclosure rules, the "empty voting" phenomenon, and SEC enforcement actions concerning beneficial ownership disclosures. The panel will also discuss beneficial ownership rulemaking prompted by the Dodd-Frank Act.
