Kate Ciravolo has joined the Association for Cooperative Operations Research and Development, ACORD Corporation in Pearl River, New York, as their vice president and counsel, government affairs.Formerly, she worked in government relations for Atlantic Mutual Insurance Companies in Madison, New Jersey.
Conant Joins Xilinx In San Jose

Don Conant has joined the legal department at Xilinx in San Jose as director of business operations legal.He joins the company following nine years at Intel.
Sears Names Andrea Zopp General Counsel

Andrea L. Zopp has been named to the post of senior vice president and general counsel of Sears, Roebuck and Co., the country's oldest retail chain, headquartered in Chicago.She will report to Chairman CEO Alan J. Lacy.Ms. Zopp succeeds Anastasia Kelly, who resigned last January.

Ms. Zopp comes to Sears from Sara Lee Corporation, where she served as vice president and deputy general counsel.There, she developed legal strategy and led senior attorneys at the company's operating divisions and risk management and environmental services and safety groups.
Tyco International AnnouncesSeven New Appointments

Robert W. Frantz has been appointed to the new position of vice president, environment, health and safety at Tyco International Ltd.He will report to William B. Lytton, executive vice president and general counsel.Mr. Frantz formerly served as general manager and counsel, environment, health and safety at GE Engine Services.

Also, Mr. Lytton has announced the recent appointment of anumber of experienced corporate lawyers to its corporate and business segment staffs.

N. Cornell Boggs III has been appointed general counsel of Tyco Plastics and Adhesives, one of its five operating divisions. He reports directly to Mr. Lytton.Formerly, Mr. Boggs served as group counsel and manager for Intel Corporation's Sales and Marketing legal organization in the Americas. He is a member of the board of directors of the Minority Corporate Counsel Association and co-chair of ACCA's Law Department Management Committee.

Valli Baldassano has been named compliance counsel for Tyco International.Formerly, she was senior director, global compliance for Pharmacia Corporation.

Judy Reinsdorf has been appointed associate general counsel and assistant corporate secretary at Tyco International.Formerly, Ms. Reinsdorf was the vice president and associate general counsel at Pharmacia Corporation.

Anne Kennedy has been appointed as the chief administrative officer.For the past ten years, she has been with KPMG Consulting and Andersen Business Consultants.

Ms. Baldassano, Ms. Reinsdorf, and Ms. Kennedy report to Timothy Flanigan, general counsel, corporate and international law of Tyco International.

John S. Jenkins, Jr. has joined Tyco International as senior litigation counsel, reporting to Gardner Courson, deputy general counsel, litigation.Formerly, he was in the litigation group at McGuireWoods LLP.

Ed May has joined Tyco as senior legal analyst in the corporate secretary's group, reporting to Ms. Reinsdorf.Formerly, Mr. May worked as a corporate paralegal at Pharmacia Corporation.
Roxanne KhazarianJoins Kaplan

Roxanne Khazarian has joined Kaplan Inc. as general counsel.The educational testing company, based in New York City, is a wholly-owned subsidiary of The Washington Post Company.She succeeds Ronnie Dillon, who became the chief administrative officer.Ms. Khazarian will lead the company's five-lawyer legal department, overseeing all of Kaplan's legal operations.

Prior to joining Kaplan, Ms. Khazarian held senior legal and management positions at Ethan Allen, Inc. and Textron Lycoming, a unit of Tectron, Inc.
Joan GuggenheimerJoins Bank One

Joan Guggenheimer has joined Chicago-based Bank One Corporation as chief legal officer and head of the Law Compliance and Government Relations department.She will serve on the Planning Group, the company's executive management team, and will report to Bank One chairman and CEO Jamie Dillon.

Ms. Guggenheimer was most recently general counsel of Citigroup's Global Corporate andInvestment Bank, where she also had responsibility for government, regulatory and community affairs.At Citigroup, she also served as deputy general counsel for litigation and general counsel of the institutional businesses.

She served as head of Diversity for Smith Barney, co-head of Anti-Money Laundering for Citigroup, and, last year, as co-general counsel of Citigroup.

Ms. Guggenheimer succeeds Christine A. Edwards, who retired in May.After joining Bank One in 2000, Ms. Edwards successfully built Law, Compliance and Government Relations into a single department; helped establish strong working relationships with regulators; significantly cut expenses and reduced reliance on outside counsel; established Bank One's Federal Government Relations office in Washington, DC, and helped establish Bank One as a leader in corporate governance.
Kline Joins CooperTire & Rubber

Jim Kline has joined Cooper Tire & Rubber company, based in Findlay, Ohio, as vice president, general counsel and secretary.He leads the company's six-lawyer legal department, succeeding Richard Tepple, who recently retired after serving as general counsel for 20 years.

Mr. Kline formerly was vice president and general counsel of Aeroquip-Vickers, Inc. in Toledo, Ohio until it was acquired by Eaton Corporation in 1999.
Danino Named GC,World Bank Group

Roberto Danino has been named senior vice president and general counsel of The World Bank Group, succeeding Ko-Yung Tung.Prime minister of Peru from 2001 to 2002, Mr. Danino has recently served as the Peruvian ambassador to the United States.Formerly, Mr. Danino worked as a corporate lawyer in the Washington law firm of Wilmer, Cutler & Pickering, where he helped to establish the firm's Latin American practice.

During his tenure, Mr. Tung enacted significant internal reforms.He oversaw the restructuring of the legal department, moving away from a geographic organization ofits attorneys to an issue-based system.He also transformed the International Center for the Settlement of Investment Disputes into the main vehicle for settling investment disputes between governments and foreign investors.

David Hertzog has joined Allegheny Energy, Inc. as vice president and general counsel.The company is based in Hagerstown, Maryland.Formerly, Mr. Hertzog was a partner in the New York office of Winston & Strawn, where he concentrated his practice in public and private financial transactions, securities transactions and mergers and acquisitions.

John Ogden, general counsel of Coperion Corporation in Ramsey, New Jersey, has been appointed to the Board of Directors of Rolling Readers, USA, a not-for-profit organization that promotes literacy through volunteer participation in underserved communities.Mr. Ogden volunteers as a reader in Patterson public schools, a personal commitment during the work day.In addition, Mr. Ogden chairs the Conflict Resolution Committee of the New Jersey State Bar Foundation, and co-teaches conflict resolution classes for grades K through 12 and their parents in the evenings.
Owsley Elected President,Crown Central Petroleum

Thomas L. Owsley has been elected president of Crown Central Petroleum Corporation.He formerly served as senior vice president, general counsel and corporate secretary of the company, headquartered in Baltimore, Maryland.Mr. Owsley also is one of the founders of the Baltimore Chapter of the American Corporate Counsel Association.
UAL Names Lovejoy Sr. VP, GC And Secretary

UAL Corporation, the parent of United Airlines, has named Paul R. Lovejoy senior vice president, general counsel and secretary, He replaces Francesca M. Maher, who is rejoining the law firm of Mayer, Brown, Rowe & Maw.

Formerly, Mr. Lovejoy was a partner with Weil, Gotshal & Manges in New York, with a practice concentration in corporate and transactional matters.

According to Glenn Tilton, United's chairman, president and chief executive officer, "His experience in complex business transactions, corporate finance and corporate restructurings will be of great benefit as we continue to advance our plan to exit Chapter 11 as a strong, profitable enterprise."
Boswood Promoted At Thomson Legal & Regulatory

Thomson Legal & Regulatory, a market group within The Thomson Corporation, has announced that Mike Boswood has been appointed president and chief executive officer (CEO), Thomson Legal & Regulatory International.

In his new position, Mr. Boswood will continue in his role as managing director of Thomson Legal & Regulatory Europe, as well as be responsible for overseeing business activities in the Asia Pacific and Latin America markets, the global trademark business, and cross-border sales of Thomson Legal & Regulatory products, services and solutions.He will continue to be based in London.

Prior to joining Thomson in 1997, Mr. Boswood held a number of senior positions at Reed Elsevier in the United Kingdom, the Netherlands and the United States.
